Terms of Service

1. Who we are

SterkChef is restaurant management software published by Sterklight BV, Ikaroslaan 1, 1930 Zaventem, Belgium (enterprise number 0805.945.482, VAT BE 0805.945.482). Contact: hello@sterklight.be.

2. Who the service is for

The service is aimed at professionals: restaurants and other food businesses. The agreement is normally concluded between two businesses. If you are a consumer, meaning a natural person acting outside any trade, business or profession, the consumer protections in section 6 apply to you in addition and cannot be reduced by these terms.

3. How an agreement is concluded

There is no online checkout on this website. Sending a demo or contact request is not an order and creates no obligation on either side.

After a demo we send an offer or order form. An agreement exists when you accept it: by signing it, by signing it electronically, by confirming it by email, or by ticking the acceptance box it contains. By submitting or accepting an order you confirm that you have read these terms and agree to them.

The box under our forms works the same way: it asks you to confirm that you have read the Privacy Policy and accept these terms before the request is sent.

4. Prices and payment

Prices are those in the offer or order form. Unless the offer says otherwise they exclude VAT. Pricing depends on the venue and the country and is not published on the website. Payment terms are stated in the offer and on the invoice.

5. Term, renewal and termination

The duration, any renewal and the notice period are stated in the offer or order form. Either party may end the agreement with immediate effect by written notice if the other commits a material breach and does not remedy it within a reasonable period after being told in writing.

When the agreement ends, we give you a reasonable opportunity to export your data, after which it is deleted or anonymised as the data processing agreement provides.

6. Right of withdrawal and cancellation

Business customers. The statutory right of withdrawal does not apply to agreements between businesses. Your right to cancel is the one in the offer or order form and in section 5.

Consumers. If you are a consumer and the agreement is concluded at a distance, you have the right to withdraw within 14 days without giving any reason (Directive 2011/83/EU on consumer rights, as implemented in Belgian law). The 14 days start on the day the agreement is concluded.

To withdraw, tell us clearly before the period ends, for example by email to hello@sterklight.be. You may use the model withdrawal form in Annex I(B) of the Directive, but you do not have to. Sending your notice before the period ends is enough.

If you withdraw, we refund every payment we received from you without undue delay and in any event within 14 days of being informed of your decision, using the payment method you used unless you agree otherwise.

If you asked us to begin the service during the withdrawal period, you pay a proportionate amount for what was provided until you told us you were withdrawing. If the service has been fully provided with your prior express consent and your acknowledgement that you lose the right to withdraw once it is fully performed, the right ends at that point.

7. Using the service

You use the service lawfully, keep your login details confidential, answer for what is done with your accounts, and do not attempt to disrupt the service, gain unauthorised access, copy it or reverse-engineer it except where the law allows.

8. Personal data

For the guest, staff, order and payment data you process in SterkChef, you are the controller and we are your processor, under a data processing agreement that forms part of the agreement. Our subprocessors are listed on the Subprocessors page. Personal data collected through this website is covered by the Privacy Policy.

9. Availability and support

We run the service with due care and aim for continuous availability. Service levels, support hours and maintenance windows are those stated in the offer or order form; nothing on this website is a service-level commitment.

10. Intellectual property

The software, the SterkChef name and logo and this website remain the property of Sterklight BV or its licensors. For the term of the agreement you get a non-exclusive, non-transferable right to use the service. Your data remains yours.

11. Liability

Nothing in these terms limits liability for intent, for death or personal injury, or for anything the law does not allow to be limited, and nothing affects the mandatory rights of consumers. Outside that, our liability is limited to the extent the law permits and as set out in the offer or order form.

12. Changes to these terms

New versions apply to agreements concluded after they are published here. For an existing agreement we tell you in advance of a change, and a change that reduces your rights applies only from the next renewal or with your agreement.

13. Governing law and disputes

Belgian law governs these terms. If we cannot settle a complaint through hello@sterklight.be, the courts that have jurisdiction at our registered office will hear it. Consumers keep the benefit of the mandatory rules of the country where they live and may also bring proceedings before the courts there. Consumers may also turn to a competent out-of-court dispute resolution body in their country.
